YOU AGREE THAT DISPUTES BETWEEN YOU AND SUPERMEDIC® WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT BELOW.

All of the graphics, text, audio, and video clips that appear on the Supermedic®. website are covered by copyright restrictions and/or other intellectual property rights or licences that are held by Supermedic®. Under U.S. copyright rules, the whole body of work on the Supermedic®. website is protected as a collective work. You are granted a restricted licence by Supermedic®. to use this website's material for personal purposes. Users of our Site may only use the content of the Supermedic®. Website for their own personal, noncommercial purposes.

DIGITAL MILLENNIUM COPYRIGHT ACT

However, persons under the age of 18 and members who, in our sole judgment, have been suspended or removed from the Supermedic®, systems are not permitted access to our membership services. Members must only apply for membership if they are qualified and agree to all of these Terms.

Using the contact information you have given us, Supermedic®. may get in touch with you or send you service-related and/or promotional announcements via postal mail, email, general site notifications, and other methods.

PRICE STANDARDS    

At Supermedic®. we are dedicated to offering our clients high calibre products at cost-effective costs. We have made every effort to appropriately represent our merchandise on the Site. Please be informed that there can be differences in style, colour, size, shape, and appearance. FINAL SALE POLICY 

  Products denoted as Final Sale are not eligible for exchange, credit or refunds. Price adjustments will not be provided to previous orders.

It is against the law to harass another person on the Site in any way or form, including through chat or email or by using vulgar or offensive language. Although Supermedic®. cannot control user behaviour, it is a clear violation of these Terms to contact, advertise to, solicit, or sell to any user without that user's prior express agreement or to use any information obtained from our site for harassing, abusing, or harming another person.

You further acknowledge that none of your reviews, comments, or other user submissions to the Supermedic®. website will violate any third-party rights, including copyright, trademark, privacy, or other individual rights. Additionally, you acknowledge that no comments you post to the website will be or contain libellous, illegal, abusive, or otherwise objectionable information. Any comments you make are and will continue to be solely your responsibility.

Supermedic®. aspires to develop a dialogue with users of its website and services. On or through this Site, user feedback, suggestions, ideas, and other submissions made by users shall be and remain the sole property of Supermedic®. Users grant Supermedic®. all property rights and interests, enabling unlimited commercial or noncommercial use of any comments by our organisation. Additionally, Supermedic®. is not obligated to (1) keep any user comments private, (2) compensate users for any remarks, or (3) reply to any user comments.

CORRECTION OF SITE ERRORS

Typographical or factual errors or inaccuracies may be included in the content on the Supermedic®. Website. Anytime without prior warning, we have the right to update any information as we see fit. Please be aware that such mistakes may concern product details, costs, and availability. In these situations, we reserve the right to cancel any orders that contain pricing mistakes or inaccuracies. By using this Site, Services, or Products, you consent to hold Supermedic®, (and its officers, directors, agents, subsidiaries, joint ventures, and employees) harmless from any third-party claim or demand, as well as losses, expenses, damages, fees (including attorneys' fees and court costs), and other costs, resulting from your violation of these Terms or any activity related to your account (including negligent or wrongful conduct), your access to an account, and the use of this Site, Services, or Products (unless otherwise prohibited by applicable law).

We reserve the right, at our own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses. You further agree that the provisions in this section will survive any termination of your Account, the Terms or your access to the Site and/or Services. 

TERMINATION OF SITE, SERVICES OR ACCOUNT

Supermedic® maintains the right, at any time and for any reason without prior warning or obligation, to impose limits on, suspend, or terminate your access to all or any portions of the Site, the Services, or your account. You will continue to be liable for your duties under these Terms, including the warranties you made, as well as the disclaimers and liability restrictions, even if the Site, Services, or your account are terminated. In the event that Supermedic® terminates your access, it won't be held responsible to you or any other parties.

Supermedic® may use and advertise services offered by outside third parties in order to improve our website. Nevertheless, even if the third party is connected to Supermedic®, we have no control over these services and give no guarantees about these people or organisations. Regarding these third-party websites, we make no guarantees or warranties, and we disclaim all duty and responsibility for their availability, timeliness, correctness, completeness, reliability, or the products or services they may offer. DISCLAIMER OF WARRANTIES

LIMITATION OF LIABILITY

If you access and use, or are unable to access or use, Supermedic® (and its officers, directors, agents, subsidiaries, joint ventures, and employees) is not responsible for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of revenue, profits, goodwill, use of data, lost opportunities, business interruptions, or other intangible losses, regardless of whether Supermedic® was informed of, knew of, or should have known of the possibility of such damages, and regardless of whether such damages are based in contract, tort (including negligence and strict liability), warranty, statute, or otherwise, unless prohibited by applicable law. The larger of (a) the whole cost of the Product order that gave rise to our responsibility or (b) $500 applies to any claims relating to your use of the Site, Services, and Products.

LIMITATION ON LEGAL ACTION

You and Supermedic® concur that any claim arising out of or connected to the Site or Services must be brought within one (1) year of the claim's emergence. If not, such a cause of action is forever prohibited.

ARBITRATION AGREEMENT

Please carefully read this Arbitration Agreement as it restricts how you can seek relief from Supermedic® and compels you to arbitrate specific disputes and claims with Supermedic®. You and Supermedic® acknowledge and agree that Supermedic's officers, directors, employees, and independent contractors ("Personnel") are third party beneficiaries of these Terms for the purposes of any dispute arising out of or relating to the subject matter of these Terms, and that upon your acceptance of these Terms, Personnel will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as the third party beneficiary hereof.

Binding arbitration will be used to finally resolve any disputes arising out of or related to the topic of these Terms. The arbitration will take place in San Diego, California. One commercial arbitrator, who shall be chosen from the appropriate list of JAMS arbitrators in accordance with such rules, shall conduct the arbitration in the English language and in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services ("JAMS") then in effect. Any court with the necessary jurisdiction may issue judgment based on the arbitrator's decision. Each party shall have the right to seek injunctive or other equitable remedies at any time from any court of competent jurisdiction, notwithstanding the preceding requirement that disputes be arbitrated.The JAMS rules will govern payment of all arbitration fees. 

Notwithstanding the foregoing, either you or Supermedic® may assert claims, if they qualify, in small claims court in the County of San Diego, State of California or the United States county where you live. 

You and Supermedic® AGREE TO WAIVE ALL LEGAL AND CONSTITUTIONAL RIGHTS TO A TRIAL BY JURY OR JUDGE IN COURT. Instead, arbitration will be used to settle claims and disagreements between you and Supermedic®. Arbitration procedures are often more constrained, more effective, and less expensive than rules that apply in court and are only very seldom amenable to judicial review. YOU AND SUPERMEDIC® WAIVE ALL RIGHTS TO A JURY TRIAL AND ELECT TO HAVE THE DISPUTE RESOLVED BY A JURY IN ANY LITIGATION BETWEEN YOU AND SUPERMEDIC® RELATING TO THE DETERMINATION OF WHETHER TO VACATE OR ENFORCED AN ARBITRATION AWARD

The arbitration or litigation of any claim or dispute falling under the purview of this arbitration agreement must be conducted on an individual basis, not a class basis. There may be no joint arbitration, litigation, or consolidation of the claims of more than one customer or user. However, neither you nor Supermedic® will be eligible for arbitration if this waiver of class or consolidated actions is found to be defective or unenforceable. Instead, any claims and disagreements shall be settled in court as explained in more detail below.

Both you and Supermedic® agree that any legal action (other than a small claims lawsuit) will be brought in the state or federal courts located in the County of San Diego, State of California, and that the foregoing arbitration agreement will not apply in any situations where either you or Supermedic® is permitted to litigate any dispute arising out of or relating to the subject matter of these Terms in court.

The remaining provisions of this arbitration agreement shall remain in force and be interpreted in accordance with their terms as if the invalid, unenforceable, illegal, or otherwise incompatible provision were not included here. This is true even if some of the provisions are found to be invalid, unenforceable, illegal, or otherwise incompatible with the JAMS rules.

This Arbitration Agreement will survive the termination of your relationship with Supermedic®. 

Additional Terms & Conditions for businesses

You agree to be bound by the terms and conditions listed above (the "General Terms") as well as these additional terms and conditions that apply to businesses ("Additional Terms"), each of which is in effect at the time you place your order for Supermedic® products on the Supermedic® website or directly from Supermedic® The right to change these additional terms without prior notice is reserved by Supermedic®. To order products from Supermedic®, you may use your own form of purchase order, but no terms or conditions stated on or included with any such order shall have any force or effect unless specifically accepted in writing by Supermedic®.By making an order for Supermedic® goods, you consent to Supermedic® using the name and logo of your business in promotional and marketing materials and otherwise identifying you as a Supermedic® client.

PAYMENT TERMS: SHIPPING

The Products (as well as any relevant sales tax and shipping charges) must be paid for in advance by credit card or wire, unless otherwise specifically agreed to by you and Supermedic® in writing. Supermedic® disclaims any liability for any carrier-related shipping delays.

RETURNS AND EXCHANGES

If you need any additional help after reading our Returns & Exchanges section, please let us know. Masks and other face coverings are final sale items and cannot be returned or refunded. Any damaged masks must be notified within three days after purchase.

USE OF PRODUCTS: RESALE RESTRICTION

You guarantee and indicate that any Supermedic® items you buy will only be used by your staff and won't be sold or advertised for sale without Supermedic's prior written approval. If Supermedic® does give you permission to resell Products, there will be additional terms and conditions that apply.

GOVERNING LAW

Without regard to India’s principles of conflict of laws and in accordance with the Federal Arbitration Act, these Terms shall be governed by the laws of the State of India.
